GENERAL TERMS & CONDITIONS OF SALE

38154 KÖNIGSLUTTER (“SELLER“)
1.1 The following General Terms and Conditions of Sale (“GTCS“) shall apply exclusively to all – including future – offers, deliveries and services of the Seller. This shall also apply to future and similar transactions with customers (“Buyer“).The GTCS shall apply in particular to contracts for the sale and/or delivery of movable goods (“Goods“), irrespective of whether the Seller manufactures the Goods itself or purchases them from suppliers (Sections 433, 650 BGB).
1.2 The GTCS shall only apply if the Buyer is an enterprise (Section 14 BGB), a legal entity under public law or a special fund under public law.
1.3 The GTCS shall apply exclusively. Deviating, conflicting or supplementary General Terms and Conditions of the Buyer or third parties are expressly rejected. These shall only apply if the Seller expressly consents to their application in writing. This requirement of consent shall apply in any case, for example even if the Seller carries out the delivery to the Buyer without reservation in the knowledge of the Buyer’s general terms and conditions.
1.4 The contract must be in writing in order to be valid. Verbal or written commitments that deviate from the GTCS of the Seller require the consent of the Seller’s executive bodies or authorised representatives in numbers entitled to represent the Seller in order to be valid.
2. CONCLUSION OF CONTRACT
All offers of the Seller are always subject to confirmation. This shall also apply if the Seller has provided the Buyer with catalogues, technical documentation (e.g. drawings, plans, calculations, calculations, references to DIN standards), other product descriptions or documents – also in electronic form.
2.1 The order of the goods by the Buyer shall be deemed to be a binding offer of contract. Unless otherwise stated in the order, the Seller shall be entitled to accept this offer of contract within five (5) working days of its submission.
2.2 The Seller shall declare acceptance to the Buyer either in writing (e.g. by sending an order confirmation) or by delivering the goods to the Buyer. Upon receipt of the declaration of acceptance by the Buyer, a binding contract shall be concluded between the parties.
2.3 If the Seller gives recommendations or information in the context of a contract initiation, this is exclusively a non-binding recommendation and/or information. A non-binding recommendation and information does not constitute any express or implied warranty (in particular, without limitation, with regard to the fitness of the Seller’s products or services for a particular purpose) and/or liability commitment on the part of the Seller. Recommendations and information are only binding if the Seller expressly confirms – at least in text form – that it assumes a warranty and/or liability commitment with the recommendation and/or information.
3. OFFER DOCUMENTS, OWNERSHIP AND CONFIDENTIALITY
3.1 The illustrations, drawings, models, tools, calculations, samples, data, information on weights, utility values, load-bearing capacity, tolerances and dimensions as well as other technical data and performance descriptions contained in these GTCS, the offer and the associated documents, as well as other company or inter-company standards, shall only constitute a quality agreement if the Seller’s offer expressly refers to the above information as part of a quality agreement. The above information does not constitute a guarantee of quality.
3.2 Illustrations, drawings, models, tools, photographs, calculations, models, samples and other documents which the Seller has provided to the Buyer (“Seller’s Documents“) are the property of the Seller. The Seller reserves ownership rights and copyrights to the Seller’s Documents. This shall also apply to Seller’s Documents marked as “confidential”.
3.3 The Seller’s Documents and the Seller’s Documents marked “Confidential” (together the “Seller’s Confidential Documents“) shall be kept secret from third parties and the Seller’s suppliers and competitors (together the “Third Parties“) during the term of the Contract and for a period of five (5) years after termination of the Contract. The Buyer shall not disclose the Seller’s Confidential Documents as such or their contents to third parties or otherwise make them available to third parties, disclose them, use them itself or through third parties, exploit them for its own business purposes or reproduce them without the Seller’s express prior written consent. The Buyer shall also impose this obligation on its employees insofar as they require confidential documents of the Seller for the fulfilment of their duties.
3.4 At the Seller’s request, the Buyer shall immediately return the Seller’s documents in their entirety, including any copies made thereof and any records prepared therefrom, to the Seller, destroy them or delete them on its own (mobile) devices or storage media if they are no longer required by the Buyer in the ordinary course of business or if negotiations do not lead to the conclusion of a contract. If the Seller is required to destroy the Seller’s Documents, the Buyer shall provide the Seller with a written certificate to this effect.
3.5 In the event that the parties conclude a framework agreement or other continuing obligation (“Framework Agreement“), the following shall apply: Upon termination of the Framework Agreement, the Buyer shall immediately return all documents of the Seller made accessible to it, in particular documents, pieces of writing, copies, models as well as samples, etc., without being requested to do so by the Seller and shall delete them on its own (mobile) devices or storage media. A right of retention cannot be asserted by the buyer in this respect. At the Seller’s request, the Buyer shall assure that it no longer has any documents, including copies thereof or other multiple copies, including in electronic form, in its possession or the possibility of obtaining access thereto. The obligation to deletion or destruction does not apply to copies that are required for compliance with statutory retention obligations on the part of the buyer.
4. PRICES AND TERMS OF PAYMENT
4.1 The pricing shall apply to the performance and scope of delivery specified in the order confirmation. Prices are quoted in EURO per unit of sales volume, strictly net, without statutory value added tax. Prices are to be paid without deduction (in particular bank charges, cash discount). An early payment discount requires a special written agreement.
4.2 If in individual cases no prices have been fixed at the time of conclusion of the contract, the respective prices of the Seller’s price list current at the time of conclusion of the contract shall apply.
4.3 All prices are ex works Seller’s works (Incoterms® 2020).
4.4 The Buyer shall bear the costs of transport and insurance, handling charges, freight charges, tolls, taxes, customs duties, packaging, public charges and similar associated charges, which shall be invoiced separately to the Buyer.
4.5 The packaging used by the Seller is intended solely for the transport of the Goods and is therefore transport packaging.
4.6 Bills of exchange or cheques as well as cash payments will only be accepted on the basis of express agreements and bills of exchange and cheques will only be accepted on account of performance.
4.7 In the event of agreed payments in currencies other than the euro (EUR) (“foreign currency“), the Buyer undertakes to pay in the agreed foreign currency. If, between the conclusion of the contract and the receipt of the invoiced payment by the Seller, a reduction in value occurs due to changes in the exchange rate, the remuneration in foreign currency shall be increased so that the amount shown in the invoice corresponds to the euro equivalent as calculated on the basis of the foreign currency debt at the time of the conclusion of the contract. The Buyer shall be obliged to make up the difference.
4.8 The Buyer shall only be entitled to withhold payments or to offset them against counterclaims to the extent that its counterclaims are undisputed or have been legally established. In the event of defects in the delivery, the Buyer’s counterclaims shall remain unaffected. Any withholding of payments shall be excluded if the Buyer has a claim against the Seller which does not arise from the same legal relationship on which its payment obligation is based.
4.9 Unless otherwise agreed between the parties, prices are due for payment within thirty (30) days after receipt of the invoice and delivery of the goods. Within the framework of ongoing business relations, Seller shall be entitled at any time to make a delivery in whole or in part only against advance payment. The Seller shall declare a corresponding reservation at the latest with the order confirmation.
4.10 The Buyer shall be in default of payment upon expiry of the aforementioned or differently agreed payment period. During the period of default, interest shall be charged at the statutory default interest rate applicable at the time. The Seller reserves the right to claim further damages for default. With respect to merchants, the claim to the commercial due date interest rate (Section 353 HGB) shall remain unaffected.
4.11 The remuneration shall become due for payment immediately in the event of cessation of payments by the Buyer and/or filing of an application for the opening of insolvency proceedings against the assets of the Buyer. If the economic situation of the Buyer does not permit the granting of credit or the extension of payment terms, the Seller may demand the provision of collateral and advance payment of all claims. Furthermore, the Seller may refuse further performance under the contract. If security is not provided or advance payments are not made in due time, the Seller may withdraw from the contract or claim damages for non-performance.
4.12 If, after the conclusion of the contract, it becomes apparent that the Seller’s claim to the price is jeopardised by the Buyer’s inability to perform, the Seller shall be entitled to refuse performance in accordance with the statutory provisions and – if necessary after setting a deadline – to withdraw from the contract (Section 321 BGB). In the case of contracts for the manufacture of non-resaleable items (custom-made products), the Seller may declare rescission immediately; the statutory provisions on the dispensability of setting a deadline remain unaffected.
5. SCOPE OF DELIVERY AND SERVICE
Excess or short deliveries, which are taken into account in the pricing, can be made to the customary extent of 10%. In the event of short deliveries, the Buyer who has duly notified the short delivery in accordance with Section 377 of the German Commercial Code (HGB) shall only owe the price corresponding to the quantity actually delivered. Excess deliveries of up to 10% shall be owed by the Buyer if the Buyer has not duly given notice of the short delivery in accordance with Section 377 HGB. In this case, the buyer shall also owe the proportionately increased price attributable to the excess delivery. If, in the case of an excess delivery, the Buyer has duly given notice of non-conformity in accordance with Section 377 of the German Commercial Code, he shall not owe the additional amount proportionately attributable to the excess delivery if he has no interest in the excess delivery and notifies the Seller thereof within the time limits applicable to notices of non-conformity in accordance with Section 377 of the German Commercial Code. However, the Buyer shall then be obliged to return the excess goods to the Seller upon request.
6. DELIVERY PERIODS AND DELIVERY DATES
6.1 Compliance with the Seller’s delivery periods and delivery dates is subject to the timely and proper fulfilment of the Buyer’s obligations. This includes the clarification of all order-relevant and technical questions as well as the release of samples. Furthermore, the Buyer shall provide the Seller with all documents and data that may be required for the performance of the contract as well as materials to be provided by the Buyer in due time or on the agreed delivery date and in an appropriate form. The Seller’s delivery period shall not commence until all questions necessary for the performance of the contract (in particular all order-related and technical questions) have been clarified by the Seller. The defence of non-fulfilment of the contract remains reserved.
6.2 The delivery dates stated by the Seller are non-binding unless they have been expressly confirmed in writing by the Seller as a “binding delivery date”.
6.3 The delivery period shall result from the agreement of the contracting parties. Delivery periods are always approximate unless they have been expressly confirmed in writing by the Seller as a “binding delivery period”. Unless delivery periods have been agreed or stated upon acceptance, the delivery period shall be approximately three (3) months from the conclusion of the contract.
6.4 Subject to fulfilment of clause 6.1, the delivery period shall commence upon conclusion of the contract (cf. clause 2). In the case of self-collection, the delivery periods refer to the time for which the Seller has notified the goods as ready for dispatch.
6.5 If the Seller is unable to meet binding delivery deadlines for reasons for which the Seller is not responsible (non-availability of the service), the Seller shall inform the Buyer of this without delay and at the same time notify the Buyer of the expected new delivery deadline. If the service is also not available within the new delivery period, the parties shall be entitled to withdraw from the contract in whole or in part; the Seller shall immediately reimburse any counter-performance already made by the Buyer. A case of non-availability of the service in this sense shall be deemed to be in particular the failure of the Seller’s suppliers to deliver on time if the Seller has concluded a congruent hedging transaction, neither the Seller nor its suppliers are at fault or the Seller is not obliged to procure in the individual case.
6.6 The occurrence of the Seller’s default in delivery shall be determined in accordance with the statutory provisions. In any case, however, a reminder by the Buyer shall be required.
6.7 If the Seller is in default of delivery, the Seller must set a reasonable grace period of at least thirty (30) days, unless such grace period is dispensable pursuant to Section 323 para. 2 BGB. After expiry of the grace period, he may withdraw from the contract if the goods have not been reported ready for dispatch.
6.8 The Seller shall issue an invoice to the Buyer immediately upon delivery. The Buyer shall immediately send a reminder to the Seller within eight (8) days of delivery if the corresponding invoice has not been received. If this is not done, there is no basis for discount deductions or other payment reductions on the part of the Buyer.
6.9 The Seller shall not be liable for impossibility of delivery or for delays in delivery insofar as these are caused by force majeure, i.e. events unforeseeable at the time of conclusion of the contract, for which the Seller is not responsible.
6.10 The Buyer’s rights under Clause 10 and the Seller’s statutory rights, in particular in the event of an exclusion of the obligation to perform (e.g. due to impossibility or unreasonableness of performance and/or subsequent performance), shall remain unaffected.
7. DELIVERY, SHIPPING, TRANSFER OF RISK, PACKAGING
7.1 Unless otherwise stated in writing by the Seller (in particular in the order confirmation), delivery of the goods shall be “ex works” (EXW Incoterms® 2020).
7.2 At Buyer’s request and expense, the goods shall be shipped to another destination (“sale by delivery to a place other than the place of performance“). Unless otherwise agreed, Seller shall be entitled to determine the type of shipment (in particular the carrier, shipping route, packaging) itself. Shipment and transport shall be for the account and at the risk of the Buyer.
7.3 The risk of accidental loss and accidental deterioration of the goods shall pass to the Buyer at the time the goods are handed over. In the case of sale by delivery to a place other than the place of performance, however, the risk of accidental loss and accidental deterioration of the goods as well as the risk of delay shall pass to the buyer upon delivery of the goods to the forwarding agent, the carrier or any other person or institution designated to carry out the shipment.
7.4 If the Buyer requires special packaging and/or transport packaging for the goods, this shall require a separate agreement between the parties. The Buyer shall bear the costs incurred for this. In addition, the Buyer shall provide the Seller with packaging instructions. Packaging material will be charged at cost price. Transport packaging and all other packaging in accordance with the German Packaging Ordinance (Verpackungsverordnung) will not be taken back by the Seller, with the exception of loan packaging and reusable pallets. The buyer is obliged to dispose of packaging at his own expense in accordance with the regulations. Upon request, the Buyer shall provide the Seller with written proof of proper disposal.
8. ACCEPTANCE DEFAULT
The Buyer is obliged to accept the goods. If the Buyer is in default of acceptance, fails to cooperate or if the Seller’s delivery is delayed for other reasons for which the Buyer is responsible, the Seller shall be entitled to claim compensation for the resulting damage, including additional expenses (e.g. storage costs).
9. NON-CONFORMITIES, WARRANTY
9.1 The statutory provisions shall apply to the Buyer’s rights in the event of material and legal shortcomings, unless otherwise stipulated below. In all cases, the special statutory provisions shall remain unaffected in the case of final delivery of unprocessed goods to a consumer (Section 13 of the German Civil Code), even if the consumer has further processed the goods (supplier’s recourse pursuant to Section 478 of the German Civil Code). Claims arising from supplier recourse are excluded if the defective goods have been further processed by the Buyer or another enterprise, e.g. by incorporation into another product.
9.2 The basis of the Seller’s liability for non-conformities is above all the agreement reached on the quality of the goods.
9.3 Insofar as the quality has not been agreed, it shall be assessed in accordance with the statutory provisions whether or not there is a non-conformity (Section 434 para. 1 sentence 2 and 3 BGB). However, the Seller shall not be liable for public statements made by the manufacturer or other third parties (e.g. advertising statements) to which the Buyer has not drawn the Seller’s attention as being decisive for the Buyer’s purchase.
9.4 The Seller shall fundamentally not be liable for non-conformities of which the Buyer is aware at the time of conclusion of the contract or is not aware due to gross negligence (Section 442 BGB). Furthermore, the Buyer’s claims for defects presuppose that he has complied with his statutory duties of inspection and notification of non-conformity (Sections 377, 381 HGB). In the case of goods intended for installation or other further processing, an inspection must in any case take place immediately before processing. If a non-conformity becomes apparent upon delivery, inspection or at any later point in time, the Seller shall be notified thereof in writing without undue delay. In any event, obvious non-conformities shall be notified in writing within five (5) working days of delivery and non-conformities not apparent on inspection within the same period of time from discovery. If the Buyer fails to duly inspect the goods and/or give notice of defects, the Seller’s liability for the non-conformity not notified or not notified in due time or not notified in due form shall be excluded in accordance with the statutory provisions.
9.5 If the goods are defective, the Seller may initially choose whether to provide subsequent performance by remedying the non-conformity (subsequent improvement) or by delivering a non-defective item (replacement delivery). The Seller’s right to refuse subsequent performance under the statutory conditions shall remain unaffected.
9.6 The Seller is entitled to make the subsequent performance owed dependent on the Buyer paying the purchase price due. However, the Buyer shall be entitled to retain a part of the purchase price that is reasonable in relation to the non-conformity.
9.7 The Buyer shall give the Seller the time and opportunity required for the subsequent performance owed, in particular to make the goods complained about available and/or accessible for inspection purposes. In the event of a replacement delivery, the Buyer shall return the defective item to the Seller in accordance with the statutory provisions. Subsequent performance shall not include the removal of the defective item or its re-installation if the Seller was not originally obliged to install it.
9.8 The expenses necessary for the purpose of inspection and subsequent performance, in particular travel, transport, labour and material costs as well as, if applicable, removal and installation costs shall be borne or reimbursed by the Seller in accordance with the statutory provisions if there is actually a non-conformity. Otherwise, the Seller may demand reimbursement from the Buyer of the costs incurred as a result of the unjustified request to remedy the defect (in particular inspection and transport costs), unless the lack of defectiveness was not apparent to the Buyer.
9.9 If the supplementary performance has failed or if a reasonable period to be set by the Buyer for the supplementary performance has expired unsuccessfully or is dispensable according to the statutory provisions, the Buyer may withdraw from the contract or reduce the purchase price for the goods complained about. In the event of a minor non-conformity, however, there shall be no right of withdrawal.
9.10 Claims of the Buyer for damages or reimbursement of futile expenses shall also exist in the case of non-conformities only in accordance with clause 10 and are otherwise excluded.
9.11 After the transfer of risk, the Buyer shall bear the burden of presentation and proof for the existence of a defect in the goods at the time of the transfer of risk.
9.12 Guarantees or the assumption of procurement risks must be expressly agreed in writing.
9.13 Transport damage must be reported immediately in writing to the forwarder or carrier and, in the event that a consignment note has been issued, noted on the consignment note. The notification obligations of the German Freight Forwarders’ Standard Terms and Conditions (ADSp) as amended from time to time shall apply in this respect.
10. LIABILITY FOR MATERIAL AND LEGAL SHORTCOMINGS
10.1 The Seller shall be liable to the Buyer for damages only in accordance with the following provisions.
10.2 In the event of breaches of duty – irrespective of the legal grounds – the Seller shall be liable for intent and gross negligence. Subject to a milder standard of liability according to statutory provisions, the Seller shall only be liable in the event of simple negligence:
10.2.1 for damages resulting from injury to life, body or health and
10.2.2 for damages arising from the breach of a material contractual obligation (obligation the fulfilment of which is a prerequisite for the proper performance of the contract and on the observance of which the Buyer regularly relies and may rely, such as the obligation to deliver the purchased product); in this case, however, liability shall be limited to compensation for the foreseeable, typically occurring damage.
10.3 The above limitations of liability shall also apply in the event of breaches of duty by legal representatives or vicarious agents of the Seller.
10.4 The above limitations of liability shall not apply if the Seller has given a guarantee for the quality of the goods or has fraudulently concealed the non-conformities (Section 444 BGB).
10.5 Claims under the Product Liability Act shall remain unaffected in all cases.
11. LIMITATION PERIOD
11.1 For claims arising from material or legal non-conformities not covered by Section 438 para. 1 no. 2 BGB, the limitation period shall be one year from the statutory commencement of the limitation period, e.g. from delivery (Section 438 para. 1 no. 3 BGB).
11.2 These limitation periods shall not apply to claims for damages by the Buyer arising from injury to life, limb or health or in the event of intentional or grossly negligent breaches of duty by the Seller or its legal representatives or its vicarious agents or in the event of fraudulent intent. These claims as well as claims under the Product Liability Act shall become time-barred exclusively in accordance with the statutory provisions.
12. RETENTION OF TITLE
12.1 The goods shall remain the property of the Seller until full payment of all present and also future claims of the Seller arising from the purchase contract and an ongoing business relationship (“secured claims“). If deliveries are made on an open account, the retention of title shall serve as security for the balance. If the Buyer’s cooperation is required for the retention of title of the goods, the Buyer shall undertake all necessary actions required for the retention of title (i.e. in particular to perform acts of cooperation; to provide documents and records in a suitable form).
12.2 The buyer is obliged to treat the goods with care; in particular, he is obliged to insure them at his own expense against destruction, damage, lightning, fire, water and theft at their replacement value. If maintenance and inspection work is required, the buyer must carry this out in good time at his own expense.
12.3 In the event of a breach of contract by the Buyer, in particular in the event of non-payment of the purchase price due, the Seller shall be entitled to withdraw from the contract in accordance with the statutory provisions and/or to demand surrender of the goods on the basis of the retention of title. The demand for return does not at the same time include the declaration of withdrawal; the Seller is rather entitled to demand only the return of the goods and to reserve the right to withdraw from the contract. If the Buyer does not pay the price due, the Seller may only assert these rights if the Seller has first unsuccessfully set the Buyer a reasonable deadline for payment or if setting such a deadline is dispensable under the statutory provisions.
12.4 Until revoked, the Buyer shall be entitled to resell the goods subject to retention of title in the ordinary course of business. The Buyer hereby assigns to the Seller all claims against its customers or third parties arising from the resale of the goods in total or in the amount of any co-ownership share of the Seller (in particular in the event of processing). The Seller accepts the assignment. The Buyer shall remain authorised to collect the assigned claims until revoked even after the assignment. The Seller’s authority to collect the assigned claims itself shall remain unaffected. The Seller undertakes not to collect the claims himself as long as the Buyer meets his payment obligations in accordance with the contract, there is no non-conformity in his ability to pay and the Seller does not assert the retention of title by exercising a right in accordance with section 12.3. If one of the last-mentioned circumstances has occurred, the Buyer shall, at the Seller’s request, provide the Seller with all information necessary for the collection of the assigned claim and hand over the relevant documents as well as notify the debtors (third parties) concerned of the assignment. In addition, the Seller shall be entitled in such cases to revoke the Buyer’s authority to resell the goods subject to retention of title. The Buyer’s obligations set out in section 12.7 shall also apply in respect of the assigned claims.
12.5 If the realised value of the securities provided to the Seller exceeds the claims to be secured by more than 20%, the Seller shall be obliged to release the securities to which the Seller is entitled to this extent at the Buyer’s request. The choice of the securities to be released shall be incumbent on the Seller.
12.6 Until revoked, the Buyer is entitled to process the goods subject to retention of title in the ordinary course of business. The retention of title shall extend to the full value of the products resulting from the processing, mixing or combining of the Seller’s goods. Processing, mixing or combining by the Buyer shall always be carried out for the Seller. The Seller shall be deemed to be the manufacturer. If, in the event of processing, mixing or combining with goods of third parties, the latter’s right of ownership remains, the Seller shall acquire co-ownership of the new item in proportion to the invoice values of the processed, mixed or combined goods (final invoice amount, including VAT). If the goods subject to retention of title are mixed in such a way that the Buyer’s goods are to be regarded as the main item, it shall be deemed agreed that the Buyer transfers co-ownership to the Seller on a pro rata basis. The Buyer shall hold the sole ownership or co-ownership thus created in safe custody for the Seller. In all other respects, the same shall apply to the resulting product as to the goods delivered under retention of title. In the event that the Buyer does not meet its payment obligations in accordance with the contract, there is a non-conformity in its ability to perform and/or the Seller asserts the retention of title by exercising a right in accordance with section 12.3, the Seller shall be entitled to revoke the Buyer’s authority to process, mix and combine the goods subject to retention of title.
12.7 The goods subject to retention of title may neither be pledged to third parties nor assigned as security before full payment of the secured claims. In the event of seizure of the goods subject to retention of title by third parties or other interventions by third parties, the Buyer shall inform the third party of the Seller’s ownership and notify the Seller immediately in writing so that the Seller can enforce its ownership rights. If the third party is unable to reimburse the Seller for the judicial and/or extrajudicial costs incurred by the Seller in this connection, the Buyer shall be liable for these.
13. PARTIAL PERFORMANCE
The Seller is only entitled to make partial deliveries if
13.1 the partial delivery is usable for the Buyer within the scope of the contractual purpose,
13.2 the delivery of the remaining ordered goods is ensured and
13.3 the Buyer does not incur significant additional expenses or costs as a result (unless the Seller agrees to bear these costs).
14. PLACE OF PERFORMANCE, PLACE OF JURISDICTION
14.1 Place of performance for the delivery is the respective loading station. The place of performance for payments shall be Königslutter.
14.2 The basis of all legal relations between Buyer and Seller shall be exclusively the law of the Federal Republic of Germany. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) and private international law is excluded.
14.3 The exclusive place of jurisdiction for all disputes between the Buyer and the Seller arising directly or indirectly from or in connection with the contractual relationship and for all claims arising from the business relationship shall be the Seller’s registered office, provided the Buyer is a merchant, a legal entity under public law or a special fund under public law. The same shall apply if the Buyer is an enterprise within the meaning of Section 14 of the German Civil Code (BGB). However, the Seller shall also be entitled to take action against the Buyer at the Buyer’s general place of jurisdiction.
15. FINAL PROVISIONS
15.1 Should individual parts of these provisions be or become void, invalid and/or unenforceable, the validity of the remaining provisions shall not be affected thereby. If no dispositive law is available, instead of a void, invalid and/or unenforceable provision, the valid and enforceable provision that comes closest to the void, invalid and/or unenforceable provision shall be deemed agreed. This shall apply accordingly to the filling of unintended loopholes in these provisions.
15.2 The Buyer may only transfer or assign the rights and/or obligations under the contract to a third party with the prior written consent of the Seller.

(hereinafter “MEHLER/LINDNERHOF”, “we”, “us”)
§ 1 General and scope of application
1.1 These General Terms shall apply to all business relations between MEHLER/LINDNERHOF and our suppliers. Our offers are always made on the basis of these General Terms.
1.2 The General Terms apply in particular to contracts concerning the sale and/or delivery of movable items (“Goods”), irrespective of whether the Supplier manufactures the goods itself or purchases them from its own suppliers (sections 433, 650 of the BGB German Civil Code). Unless otherwise agreed, the version of the General Terms valid at the time of MEHLER/LINDNERHOF placing the order and notified to the Supplier in writing shall also apply as a framework agreement for similar future contracts without MEHLER/LINDNERHOF having to refer to them again in each individual case.
1.3 The legal relationship between us and the Supplier shall be governed by these General terms and any other written agreements. Contracts, orders, agreements as well as amendments and supplements to the contract must be set out in writing in order to be of binding effect. In addition, modifications to agreements made and to our orders shall only be effective with our prior written consent.
1.4 These General Terms are the only terms that shall apply. Deviating, conflicting or supplementary general terms of business of our suppliers or third parties shall not apply, even if we do not otherwise object to their validity in individual cases. General terms and conditions of the Supplier or third parties shall only become part of the contract if and to the extent that MEHLER/LINDNERHOF has expressly consented to their validity. This requirement for consent shall also apply in particular if MEHLER/LINDNERHOF accepts deliveries without reservation in the knowledge of the general terms and conditions of the Supplier or a third party, or if MEHLER/LINDNERHOF refers to a letter containing or referring to the general terms and conditions of the Supplier or a third party. Acceptance of the Supplier’s deliveries and/or payment for such deliveries do not imply consent to the Supplier’s general terms and conditions.
1.5 By confirming the order or purchase order and at the latest upon execution of the order the Supplier acknowledges the sole validity of our General Terms for the duration of the entire business relationship, even if it refers to its own general terms and conditions.
1.6 The General Terms shall only apply if the Supplier is an entrepreneur in the sense of section 14 BGB, a legal entity under public law or a special fund under public law.
§ 2 Conclusion of contract
2.1 Orders placed by MEHLER/LINDNERHOF shall be deemed binding at the earliest upon written submission or confirmation and their respective receipt by the Supplier. Before accepting the order, the Supplier shall inform MEHLER/LINDNERHOF of any obvious errors (e.g. typographic or calculation errors) and/or missing elements of the order including order documentation so that we may correct or complete the order documentation.
2.2 Unless otherwise stipulated in our order, the Supplier shall be entitled to accept the order within a period of three (3) working days after receipt thereof by written confirmation (e.g. order confirmation). Order confirmation submitted by fax or email shall also be accepted as written confirmation.
2.3 Any delayed order acceptance shall be considered a new offer and requires acceptance by MEHLER/LINDNERHOF.
§ 3 Contractual documents (offers, order and order confirmation)
3.1 All order confirmations, quality inspection certificates (“Factory test certificates”), delivery documents and invoices from the Supplier must state our order number as well as the item number, delivery volume and delivery address.
3.2 As long as the Supplier has not yet fulfilled its obligations, MEHLER/LINDNERHOF shall be entitled, within the bounds of reasonableness, to demand changes to the order with regard to design, execution, quantity and delivery time. The impacts (e.g. additional or reduced costs, delivery dates, etc.) are to be settled by mutual agreement between the parties. MEHLER/LINDNERHOF may demand changes to the goods even after conclusion of the contract, insofar as this is objectively reasonable for the Supplier. In the case of such change to the contract, the impacts on both sides, in particular with regard to additional or reduced costs and delivery dates, are to be settled by mutual agreement between the parties.
3.3 Supplier visits or inspections as part of the offer preparation as well as the elaboration of offers, projects, etc. shall not be remunerated by us unless remuneration has been expressly agreed between the parties.
§ 4 Documents, ownership and confidentiality
4.1 The illustrations, drawings, models, tools, calculations, samples, data, information on weights, utility values, load capacities, tolerances and dimensions as well as other technical data and performance descriptions contained in the order and associated documents, as well as other company or corporate standards, are to be understood as an agreement on quality.
4.2 Illustrations, drawings, data, photos, calculations, models, samples and other documents which MEHLER/LINDNERHOF has provided to the Supplier (“Documents of MEHLER/LINDNERHOF”) shall remain the property of MEHLER/LINDNERHOF. MEHLER/LINDNERHOF reserves the right of ownership and copyright over MEHLER/LINDNERHOF’s documents. The Supplier undertakes to use MEHLER/LINDNERHOF’s documents exclusively for the performance of its contractually agreed services. The foregoing shall also apply to MEHLER/LINDNERHOF documents marked as “confidential”.
4.3 MEHLER/LINDNERHOF documents and MEHLER/LINDNERHOF documents marked as “confidential” (together “MEHLER/LINDNERHOF confidential documents”) shall be kept secret from third parties as well as from customers and competitors of MEHLER/LINDNERHOF (together “Third parties”) during the term of the contract and after termination of the contract. The Supplier may not pass on to third parties MEHLER/LINDNERHOF’s confidential documents as such nor their contents, nor make them accessible to third parties in any other way, nor disclose them, use them itself or through third parties, exploit them for its own business purposes or reproduce them without MEHLER/LINDNERHOF’s express prior written consent. The Supplier shall also impose this obligation on its employees insofar as they require confidential documents from MEHLER/LINDNERHOF for the performance of its duties.
4.4 At MEHLER/LINDNERHOF’s request, the Supplier shall immediately return MEHLER/LINDNERHOF’s confidential documents in their entirety, including any copies made thereof and any records prepared therefrom, to MEHLER/LINDNERHOF, destroy them and/or delete them from its own (mobile) devices or storage media if they are no longer required by the Supplier in the ordinary course of business or if negotiations between the parties do not lead to the conclusion of a contract. If MEHLER/LINDNERHOF requests the destruction of MEHLER/LINDNERHOF’s confidential documents, the Supplier shall provide MEHLER/LINDNERHOF with written proof thereof.
4.5 In the event that the parties conclude a framework agreement or other continuing obligation (“Framework Agreement”), the following shall apply: After termination of the framework agreement, the Supplier shall immediately release all confidential documents of MEHLER/LINDNERHOF made accessible to it, in particular documents, written materials, copies, models and samples, etc., without being requested to do so by MEHLER/LINDNERHOF, and shall delete them from its own (mobile) devices or storage media. A right of retention cannot be asserted by the Supplier in this respect. At the request of MEHLER/LINDNERHOF, the Supplier shall make certain that it no longer has any documents, including copies or other reproductions thereof, including in electronic form, in its possession nor the possibility of gaining access thereto. The obligation to delete or destroy shall not apply to reproductions which are required for compliance with the Supplier’s statutory retention obligations.
§ 5 Quality, modification of product components and production processes
5.1 The following regulations apply to the delivery of goods:
a) The basis of all contracts is the quality agreement agreed with the Supplier in accordance with section 4.1 of the General Terms as well as, if applicable, further product specifications, agreed product qualities, technical drawings and other product-specific documents. The production samples approved between the Supplier and MEHLER/LINDNERHOF shall also form part of the contract.
b) With each delivery, the Supplier undertakes to issue a factory test certificate in accordance with standard DIN 55350-18-4.1.2. The Supplier undertakes to note our order, item and delivery note numbers on the factory test certificate.
c) The Supplier undertakes to notify MEHLER/LINDNERHOF in writing without delay of any deviations or changes in the product specifications and/or product composition compared with the agreed product specifications and/or product composition. Deviations or changes to the product specifications and/or product composition as well as any resulting effects on and risks to the agreed quality of the goods shall be expressly stated in the notification. In addition, the deviating or modified product specifications and/or product composition must be approved by MEHLER/LINDNERHOF with the aid of renewed quality and safety tests, adaptation of the specifications, product release samples and certificates.
d) The Supplier must notify MEHLER/LINDNERHOF immediately in writing of any change in the Supplier’s production location or the production process or the specific settings in the production process by the Supplier after approval of the production location and/or the production samples on which the contract is based. Changes to the process as well as any resulting effects on or risks to the agreed quality of the goods shall be expressly stated in the notification. Any additional costs incurred by MEHLER/LINDNERHOF due to changes initiated by the Supplier shall be borne by the Supplier.
e) Irrespective of successful initial sampling, the Supplier shall constantly check the quality of the goods and regularly carry out requalification tests, informing MEHLER/LINDNERHOF in writing of the results of these tests at regular intervals (at least once a month). In addition, the parties shall inform each other of any measures taken to improve quality.
f) The Supplier undertakes to comply with the applicable environmental protection laws, to continuously improve its operational environmental protection measures and to avoid environmental pollution. During production of the goods, the Supplier shall ensure that the production materials provided by MEHLER/LINDNERHOF and the energy sources required are used in an efficient manner. In addition, the Supplier shall sort the waste products resulting from production in accordance with the Supplier’s customary national regulations and feed them into a recycling circuit.
g) The Supplier is obliged to comply with the requirements of Regulation (EC) No. 1907/2006 of the European Parliament and of the Council of 18 December 2006 on the Registration, Evaluation, Authorisation and Restriction of Chemicals (“REACH”). Products that do not fully comply with the requirements of REACH must not be delivered to us.
h) The Supplier guarantees that the goods comply with the latest industry standard as well as the relevant statutory provisions. For this purpose, prior to delivery of the goods the Supplier shall carry out suitable inspection measures by performing quality assurance appropriate to the type and scope of the delivery and in accordance with the latest industry standard. Upon request, the Supplier shall provide MEHLER/LINDNERHOF with written evidence of the implementation of these measures.
5.2 Changes to the conditions under section 5.1 must be made in writing.
§ 6 Items provided
6.1 Items provided by MEHLER/LINDNERHOF to the Supplier (e.g. documents, materials, software, finished and semi-finished products, tools, samples, models, templates, drawings and other manufacturing resources) as well as for moulds, devices, test assemblies, machines, equipment, templates and other items (together “items provided”) shall remain the property of MEHLER/LINDNERHOF.
6.2 The items provided as well as goods manufactured therefrom and not yet delivered shall at the Supplier’s expense be marked by the Supplier as the property of MEHLER/LINDNERHOF and shall be stored separately from third-party property.
6.3 The items and goods provided are intended for the exclusive use of MEHLER/LINDNERHOF. Any processing or transformation of the provided items by which a new item is produced shall always be carried out by the Supplier for MEHLER/LINDNERHOF. In these cases, the Supplier does not acquire ownership of the items provided. It is agreed that MEHLER/LINDNERHOF is the manufacturer within the meaning of section 950 of the BGB and accordingly acquires the ownership rights to the newly manufactured item. For all cases of processing in accordance with section 950 BGB (in particular if provided items are processed with other items that do not belong to MEHLER/LINDNERHOF) as well as combination and intermixture in accordance with sections 947, 948 BGB, the Supplier and MEHLER/LINDNERHOF hereby agree that all ownership rights to the new, uniform item shall automatically pass to MEHLER/LINDNERHOF. The handover shall be replaced by the agreement that the Supplier shall keep the new item for MEHLER/LINDNERHOF. If the Supplier’s cooperation is required for the transfer of ownership rights to the newly manufactured or new, uniform thing, the Supplier undertakes to carry out all necessary actions required for the transfer of ownership (i.e. in particular to cooperate in actions required, to provide documents and records in a suitable form). In the event that the order is passed on to subcontractors, the Supplier shall also be obliged to conclude an identical agreement with these subcontractors in favour of MEHLER/LINDNERHOF as well as an agreement obliging the subcontractor to unconditionally surrender the new, uniform item to MEHLER/LINDNERHOF at any time.
6.4 The items provided as well as goods manufactured therefrom shall be treated with care by the Supplier until such time as they are handed over in full by the Supplier to MEHLER/LINDNERHOF. The Supplier must at its own expense insure the provided objects and goods in full and at replacement value against the usual risks, in particular against fire, water and theft. If maintenance and inspection work becomes necessary, the Supplier must carry it out in good time at their own expense.
6.5 The Supplier must notify MEHLER/LINDNERHOF in writing without delay if MEHLER/LINDNERHOF’s rights to the items provided or to goods manufactured therefrom but not yet delivered are impaired by attachment or other measures taken by third parties. The Supplier shall enclose with its notification all documents required for intervention (e.g. in the case of attachment including a copy of the attachment order and an affidavit that and to what extent the attached items are identical with the items transferred under this contract). The Supplier shall immediately notify attaching creditors and other third parties in writing of MEHLER/LINDNERHOF’s rights over the provided items and/or goods.
§ 7 Prices, terms of payment and invoices
7.1 The prices stated in the order from MEHLER/LINDNERHOF are binding. Unless otherwise specified by MEHLER/LINDNERHOF (in particular in the order), all prices quoted by MEHLER/LINDNERHOF are DDP Incoterms® 2020.
7.2 All prices are in euros and include the statutory value added tax, if this is not shown separately.
7.3 Unless otherwise agreed in individual cases, the prices agreed with the Supplier are fixed prices and exclude subsequent claims of the Supplier of any kind.
7.4 The prices include all services and ancillary services of the Supplier (e.g. customs, assembly, installation) as well as all ancillary costs (e.g. costs for customs formalities, costs of transport including proper packaging and transport packaging as well as any transport and liability insurance). Insofar as, according to the agreement made, the price does not include packaging and the payment for any packaging not provided solely on loan is not expressly defined, such payment is to be charged at the verifiable cost price.
7.5 Invoices shall be issued stating our complete order information (in particular order number, date, delivery note number). If the Supplier fails to meet this condition, we shall not be responsible for any resulting delays in invoice processing and payment settlement. If individual order information is missing and payment is delayed as a result, the agreed payment periods (cf. section 7.6) shall be extended by the period of the delay.
7.6 The agreed prices become due for payment within thirty (30) calendar days of complete delivery and performance by the Supplier (including any agreed acceptance) and receipt of a proper invoice. In the case of acceptance of early deliveries, the due date shall not be determined by the time of the early delivery or service, but by the agreed delivery date. If MEHLER/LINDNERHOF makes payment within ten (10) calendar days, the Supplier shall grant us a 2% discount on the net amount of the invoice. In the case of bank transfers, payment shall be deemed to have been made in good time if MEHLER/LINDNERHOF’s bank receives the transfer order before expiry of the payment deadline; MEHLER/LINDNERHOF shall not be responsible for any delays caused by the banks involved in the payment process.
7.7 MEHLER/LINDNERHOF shall be entitled to rights of set-off and retention as well as the defence of nonperformance of the contract to the extent provided by law. In particular, MEHLER/LINDNERHOF shall be entitled to withhold payments due as long as MEHLER/LINDNERHOF is still entitled to claims against the Supplier arising from incomplete or defective performance.
7.8 The Supplier shall have a right of set-off or retention only in respect of counterclaims which have been established by declaratory judgment or which are undisputed.
7.9 MEHLER/LINDNERHOF shall not be liable for any late payment interest. The statutory provisions shall apply to default in payment.
§ 8 Terms of delivery and transfer of risk
8.1 Unless otherwise agreed, the Supplier’s deliveries – including packaging material – shall be made according to DDP Incoterms® 2020 at the place specified in the purchase order (“Destination“). If the destination is not specified and nothing else has been agreed, delivery shall be made to MEHLER/LINDNERHOF’s place of business. The respective destination is also the place of performance for the delivery and any subsequent performance (obligation to deliver).
8.2 Each delivery must be accompanied by a delivery note containing full details of the order (including date (issue and dispatch)), contents of the delivery (item number and quantity) and the MEHLER/LINDNERHOF order ID (date and number). If the delivery note is missing or incomplete, MEHLER/LINDNERHOF shall not be responsible for any delays in processing and payment resulting therefrom. On the day of dispatch and separately from the delivery note, MEHLER/LINDNERHOF shall be sent a corresponding dispatch note with delivery note and factory test certificate.
8.3 Partial deliveries are only permissible if agreed in writing between the parties.
8.4 The risk of accidental loss and accidental deterioration of the item shall pass to MEHLER/LINDNERHOF upon handover at the place of performance. Transfer of risk takes place upon agreement of acceptance. In all other respects, the statutory provisions of the law on contracts for work and services shall also apply accordingly in the event of acceptance. Transfer of risk and contractual acceptance of the delivery is still the timepoint of handover, even if the delivery is delayed.
8.5 If MEHLER/LINDNERHOF is in default of acceptance, the statutory provisions shall apply. The Supplier must expressly offer MEHLER/LINDNERHOF its services even if a defined or definable calendar time has been agreed for an action or cooperation by MEHLER/LINDNERHOF (e.g. provision of tools). If MEHLER/LINDNERHOF is in default of acceptance, the Supplier may demand compensation for its additional expenses in accordance with the statutory provisions (section 304 BGB). If the contract concerns a fungible item to be manufactured by the Supplier (one-off production), the Supplier shall only be entitled to further rights if MEHLER/LINDNERHOF undertakes to cooperate and is responsible for a failure to cooperate.
8.6 Proofs of origin requested by us (e.g. supplier’s declarations, movement certificates) shall be provided to us by the Supplier without delay and at its own expense, complete with all necessary information and signed.
§ 9 Delivery time, delivery date and delay in delivery
9.1 The delivery dates and delivery times stated in the order are binding. If no delivery date and/or delivery time is specified in the order and it has not been agreed otherwise, the delivery time shall be two (2) calendar weeks from the conclusion of the contract for standardised goods and eight (8) calendar weeks from the conclusion of the contract for goods manufactured according to individual specifications. Compliance with the delivery date or delivery time shall be determined by receipt of the goods at the place of destination specified in our order and, if no such place of destination was specified, at the place of destination specified in section 8.1.
9.2 The Supplier is obliged to inform us immediately in writing if circumstances occur or become apparent to it which indicate that it will probably not be able to meet the agreed delivery date and/or the agreed delivery time.
9.3 If agreed delivery dates and delivery times are exceeded, the Supplier shall be in default with no reminder required, insofar as the agreed delivery dates and delivery times directly or indirectly specify a certain date.
9.4 In the event of default on the part of the Supplier, we shall be entitled to claims and rights in accordance with the statutory provisions, including the right to withdraw from the contract and the right to claim damages. The provision of section 9.5 remains unaffected.
9.5 In the event of a culpable delay in delivery on the part of the Supplier, we shall be entitled – in addition to further statutory claims – to demand a contractual penalty from the Supplier in the amount of 0.5% of the respective net order value of the goods delivered late per calendar week or part thereof, but in total not more than 5% of the net order value of the goods delivered late. Any further claims for damages shall remain unaffected. The contractual penalty paid by the Supplier shall be credited against the damage caused by the delay for which the Supplier must provide compensation.
§ 10 Packaging
10.1 The Supplier’s obligation to take back packaging shall be governed by the statutory provisions. If there is a statutory requirement to take back the packaging, the Supplier must at our request take it back at their own expense.
10.2 The Supplier shall pack goods in a manner appropriate for their preservation and protection. In particular, goods shall be packed in such a way that transport damage is avoided. Packaging materials shall only be used to the extent necessary to achieve this purpose. Only environmentally friendly packaging materials may be used.
10.3 If, according to the agreement reached, the price does not include packaging and packaging materials not provided to us on a loan basis are invoiced separately, we shall be entitled to return these packaging materials to the Supplier carriage paid following receipt of the corresponding goods, insofar as they are still in a reusable condition, against payment of 2/3 of the invoice amount attributable to the packaging.
§ 11 Subcontractors
11.1 The Supplier shall not be entitled, without the prior written consent of MEHLER/LINDNERHOF, to have the service owed by it rendered by third parties (“subcontractors“). If MEHLER/LINDNERHOF has given its prior written consent and if the Supplier places an order with a subcontractor, the Supplier shall be obliged to apply the contractual conditions of these General Terms, the order and the contract in towards its subcontractor.
11.2 MEHLER/LINDNERHOF may demand that the Supplier make available to MEHLER/LINDNERHOF the agreements to be concluded between the Supplier and its subcontractor in German or English and agree on a corresponding exception to any existing obligation of confidentiality.
§ 12 Inspection of and liability for defects
12.1 The statutory provisions shall apply to the rights of MEHLER/LINDNERHOF in the event of defects of material or title of the goods as well as in the event of other breaches of duty by the Supplier, unless otherwise stipulated below.
12.2 In accordance with the statutory provisions, the Supplier shall be liable in particular for ensuring that the goods have the agreed quality at the time of transfer of risk to MEHLER/LINDNERHOF. In any case, those product descriptions which – in particular by designation or reference in MEHLER/LINDNERHOF’s order – are the subject matter of the respective contract or which have been incorporated into the contract in the same way as these General Terms shall be deemed to be an agreement on quality. It makes no difference whether the product description comes from MEHLER/LINDNERHOF, the Supplier or the manufacturer. Product properties based on the agreed product specifications and technical drawings can be verified by the factory test certificate.
12.3 The statutory provisions (Sections 377, 381 of the German Commercial Code) shall apply to the duty to inspect and give notice of defects, subject to the following proviso: MEHLER/LINDNERHOF’s duty to inspect shall be limited to defects which become apparent during MEHLER/LINDNERHOF’s incoming goods inspection under external examination including the delivery documents (e.g. transport damage, incorrect delivery and incomplete delivery) or which are identifiable during MEHLER/LINDNERHOF’s quality control process in the random sampling procedure. Insofar as acceptance has been agreed, there shall be no obligation to inspect. Further, it depends to what extent an inspection is feasible, taking into account the circumstances of each individual case in the normal course of business. MEHLER/LINDNERHOF’s obligation to give notice of defects discovered later shall remain unaffected. Notwithstanding MEHLER/LINDNERHOF’s duty to inspect, MEHLER/LINDNERHOF’s complaint (notice of defect) shall be deemed to have been made without delay and in good time if it is sent within five (5) working days of discovery or, in the case of obvious defects, of delivery. Business day means any day which is not a Saturday, Sunday or public holiday in Germany and on which bank branches in Germany are open for business. Upon receipt of our written notice of defects by the Supplier, the limitation period for warranty claims shall be suspended.
12.4 Cure shall also include removal of the defective goods and reinstallation, provided that the goods have been installed in another item or attached to another item in accordance with their type and intended use; MEHLER/LINDNERHOF’s statutory claim for reimbursement of respective expenses shall remain unaffected. The expenses necessary for the purpose of inspection and cure shall be borne by the Supplier even if it turns out that there was actually no defect. MEHLER/LINDNERHOF’s liability for damages in the event of an unfounded demand for rectification of defects shall remain unaffected; in this respect, however, MEHLER/LINDNERHOF shall only be liable if MEHLER/LINDNERHOF recognised or was grossly negligent in failing to recognise that there was no defect.
12.5 Without prejudice to MEHLER/LINDNERHOF’s statutory rights and the provisions of section 12.4, the following shall apply: in any case, MEHLER/LINDNERHOF shall be entitled to demand from the Supplier, at its discretion, rectification of the defect (“repair”) or delivery of a defect-free item (“replacement”). If the Supplier fails to meet its obligation to remedy the defect within a reasonable period of time set by MEHLER/LINDNERHOF, MEHLER/LINDNERHOF shall be entitled to remedy the defect itself and to demand reimbursement of the necessary expenses or a corresponding advance payment from the Supplier. If the cure provided by the Supplier fails or is considered unreasonable by MEHLER/LINDNERHOF (e.g. due to particular urgency, risk to operational safety or imminent occurrence of disproportionate damage), no deadline need be set; MEHLER/LINDNERHOF shall inform the Supplier of such circumstances without delay, if possible in advance.
12.6 Moreover, MEHLER/LINDNERHOF shall be entitled to reduce the purchase price or to withdraw from the contract in the event of a material defect or defect of title in accordance with statutory provisions. Furthermore, MEHLER/LINDNERHOF shall be entitled to claim damages and reimbursement of expenses in accordance with the statutory provisions.
12.7 In the case of replacement or repair, the warranty period for replaced or repaired parts shall begin again from zero, unless we assume from the Supplier’s conduct that the Supplier did not consider it-self obliged to take the measure, but only carried out the replacement or repair as a gesture of goodwill or for similar reasons.
§ 13 Product liability, indemnification, insurance
13.1 Insofar as claims are asserted against MEHLER/LINDNERHOF by third parties on the basis of product liability law due to defects in the goods supplied by the Supplier or other causes within the Supplier’s sphere of responsibility, the Supplier shall indemnify MEHLER/LINDNERHOF against such claims to the extent that the Supplier itself would be liable in the external relationship. This shall also include indemnification against the reasonable and necessary costs of legal defence. The Supplier shall support MEHLER/LINDNERHOF in its legal defence against such third-party claims without delay and without invoking any rights to refuse performance.
13.2 Within the scope of its indemnity obligation, the Supplier shall reimburse expenses pursuant to sections 683, 670 of the BGB arising from or in connection with a claim by third parties including recall actions carried out by MEHLER/LINDNERHOF. We will – as far as possible and reasonable – inform the Supplier of the content and scope of recall measures to be carried out and give it the opportunity to comment. Other legal claims remain unaffected.
13.3 Insofar as findings from the Supplier’s own product monitoring, statements by third parties or measures taken by authorities indicate that products covered by the contract could have defects relevant safety, the Supplier shall inform MEHLER/LINDNERHOF immediately in writing and shall keep MEHLER/LINDNERHOF informed from then on without being requested to do so.
13.4 The Supplier shall take out and maintain product liability and recall insurance with a lump sum coverage of at least EUR 10 million per incident of personal injury/property damage and, at the request of MEHLER/LINDNERHOF, provide evidence of this by submitting the relevant insurance policy and proof of payment of the insurance premium. If we are entitled to further claims for damages, these shall remain unaffected.
13.5 In addition, the Supplier must provide us with evidence of the existence of a business liability insurance policy upon request by submitting the relevant insurance policy and proof of payment of the insurance premium.
§ 14 Limitation
14.1 The mutual claims of the parties lapse in accordance with statutory provisions, unless otherwise stipulated below.
14.2 In deviation from section 438 para. 1 no. 3 of the BGB, the general limitation period for claims for defects shall be three (3) years from the transfer of risk. Where acceptance has been agreed, the period of limitation begins with acceptance of the goods. The three-year period of limitation also applies as appropriate for claims arising from defect of title whereby the statutory period of limitation for the real right of a third party to claim the return of a thing (Section 438 Clause 1 Point 1 of the BGB) remains unaffected; furthermore, there is no period of limitation in any case regarding claims arising from defect of title so long as the third-party – in particular in the absence of a period of limitation – is able to assert the right against us.
14.3 The periods of limitation in commercial law, including the aforementioned extension, apply – to the scope of the law – for all contractual claims arising from defect. In so far as claims for compensation for damages outside of the contract are brought against MEHLER/LINDNERHOF due to a defect, the regular statutory period of limitation (Sections 195, 199 BGB) applies here if the use of the periods of limitation in sales law does not lead to a longer period of limitation in the individual case.
§ 15 Property rights
15.1 The Supplier warrants that the goods delivered by it are free from property rights, copyright or industrial property rights of third parties (in particular trademark, company, name, patent, utility model or design rights) which impair or exclude the free use of the goods.
15.2 In the event that the goods infringe property rights, copyright or industrial property rights of a third party, the Supplier shall
– notify MEHLER/LINDNERHOF in writing immediately after becoming aware of the infringement of such rights,
– at its own reasonable discretion and at its own expense, modify or replace the goods in such a way that the rights of third parties are no longer infringed but the goods continue to fulfil the contractually agreed functions and quality requirements (in particular the agreed quality requirements and characteristics as well as the technical data). If the Supplier fails to do so within a reasonable period of time, MEHLER/LINDNERHOF shall be entitled to withdraw from or terminate the contract – without prejudice to further rights – for good cause, and
– release MEHLER/LINDNERHOF upon first request from all claims by third parties in connection with the infringement, unless the Supplier is not responsible for the infringement or the claims of the respective third party are time-barred.
§ 16 Transfer of ownership of goods and retention of title
16.1 The transfer of ownership of goods to MEHLER/LINDNERHOF shall be unconditional and irrespective of the payment of the price. We do not recognise an extended or prolonged retention of title by the Supplier. The agreement of such a reservation of title requires our separate prior written consent.
16.2 However, if MEHLER/LINDNERHOF accepts in an individual case an offer from the Supplier for transfer of ownership conditional on payment of the purchase price, the Supplier’s retention of title shall expire at the latest upon payment of the purchase price for the goods delivered. MEHLER/LINDNERHOF shall remain entitled to resell the goods in the ordinary course of business, even before payment of the purchase price, with advance assignment of the claim arising therefrom (alternatively, the simple reservation of title extended to the resale shall apply). This excludes all other forms of retention of title, in particular extended retention of title, transferred retention of title and retention of title extended to cover further processing.
§ 17 Tools from MEHLER/LINDNERHOF
17.1 Tools, parts, moulds, devices, test assemblies, machines and equipment provided by MEHLER/LINDNERHOF (together “MEHLER/LINDNERHOF tools”) shall be used by the Supplier exclusively for the manufacture of the goods ordered by MEHLER/LINDNERHOF from the Supplier. MEHLER/LINDNERHOF tools remain the property of MEHLER/LINDNERHOF. The Supplier is not entitled to use MEHLER/LINDNERHOF tools to manufacture other products and place them on the market, or to use or reproduce MEHLER/LINDNERHOF tools for orders placed by a third party.
17.2 The Supplier must carry out an incoming inspection of the MEHLER/LINDNERHOF tools, i.e. upon receipt of the MEHLER/LINDNERHOF tools, the Supplier is obliged to immediately inspect and accept the quantities as well as check that the MEHLER/LINDNERHOF tools are complete and free from defects. The results of the incoming inspections to be carried out by the Supplier shall be reported to MEHLER/LINDNERHOF in writing without delay (i.e. in writing or in text form, e.g. by e-mail) and photos shall be provided to MEHLER/LINDNERHOF upon request.
17.3 The Supplier undertakes to store MEHLER/LINDNERHOF tools properly and separately from tools of third parties. MEHLER/LINDNERHOF tools shall be marked by the Supplier as the property of MEHLER/LINDNERHOF. In addition, the Supplier undertakes to protect MEHLER/LINDNERHOF tools from access by third parties. If third parties gain access, the Supplier must inform MEHLER/LINDNERHOF of this immediately in writing. The Supplier shall support MEHLER/LINDNERHOF in its legal defence against such access without delay and without invoking any rights to refuse performance.
17.4 Upon receipt of the MEHLER/LINDNERHOF tools by the Supplier, the Supplier undertakes to handle and store the MEHLER/LINDNERHOF tools received with care and due diligence. The costs of safe-keeping are included in the remuneration for the goods. The Supplier shall be obliged to carry out at its own expense and in a timely manner any necessary maintenance and inspection work on MEHLER/LINDNERHOF tools in its custody as well as all maintenance and repair work. Any damage to or loss of MEHLER/LINDNERHOF tools must be reported to us immediately; if the customer culpably fails to do so, claims for damages shall remain unaffected.
17.5 Throughout the time that the tools are stored with the Supplier, the Supplier is obliged to adequately insure MEHLER/LINDNERHOF tools at replacement value, in particular against the risks of escape of water, storm, hail, fire and consequential loss, burglary, explosion and vandalism. The corresponding insurance costs shall be borne by the Supplier. At the request of MEHLER/LINDNERHOF, the Supplier shall provide evidence of insurance cover in the form of an insurance certificate. MEHLER/LINDNERHOF must be notified immediately of any interruption in insurance cover. MEHLER/LINDNERHOF is to be included in the insurance cover as a coinsured person. At the same time, the Supplier hereby assigns to MEHLER/LINDNERHOF all claims for compensation arising from this insurance and MEHLER/LINDNERHOF hereby accepts the assignment.
17.6 MEHLER/LINDNERHOF may at any time – without observing a period of notice – demand the immediate return of the MEHLER/LINDNERHOF tools from the Supplier if the MEHLER/LINDNERHOF tools are no longer required by the Supplier to fulfil the contract concluded with MEHLER/LINDNERHOF. In such a case, the Supplier is obliged to return the MEHLER/LINDNERHOF tools to MEHLER/LINDNERHOF without delay and to deliver the MEHLER/LINDNERHOF tools to the DDP Incoterms® 2020 named place of destination. A right of retention on the part of the Supplier to the MEHLER/LINDNERHOF tools is excluded unless the Supplier’s counterclaim is an undisputed or legally established claim against us.
§ 18 Confidentiality
18.1 The Supplier shall be obliged to keep confidential during the term of the contract and after its termination MEHLER/LINDNERHOF’s confidential documents, samples, sketches, cutting templates, illustrations, drawings, calculations and information stored on data storage media, tools, business intentions, personal data, problem definitions, problem solutions and/or data and other knowledge and expertise, irrespective of their content, as well as information obtained visually by inspecting plant/equipment, as well as the content and conclusion of this contract itself (in particular the terms and conditions of the order) and all information and other documents made available for this purpose (together “confidential information of MEHLER/LINDNERHOF”) provided to it or made known to it by virtue of the cooperation. Such information shall only be used for the performance of the contract, shall not be passed on to third parties or made accessible to third parties in any other way, and the Supplier shall not disclose, reproduce or exploit such information for its own business purposes without authorisation. The Supplier shall also impose this obligation on its employees insofar as they require confidential information for the performance of their duties.
18.2 The Supplier shall also use technical information, intentions, experience, knowledge or designs which become accessible or disclosed to it in a confidential manner as part of the contractual cooperation only within the framework of the cooperation for the purposes of the contract and shall treat such information as confidential during the term of the contract and after its termination and shall not make it accessible to any third party.
18.3 The Supplier shall be obliged to implement appropriate confidentiality measures, i.e. in particular to comply with the measures laid down by MEHLER/LINDNERHOF for the protection of MEHLER/LINDNERHOF’s confidential information and to take appropriate precautions to prevent unauthorised persons from gaining access to MEHLER/LINDNERHOF’s confidential information.
18.4 This obligation does not include confidential information of MEHLER/LINDNERHOF which demonstrably
– is or becomes publicly available;
– was already known to the Supplier outside the contractual relationship;
– has been lawfully disclosed by third parties; or
– is released by MEHLER/LINDNERHOF.
18.5 The Supplier shall immediately return MEHLER/LINDNERHOF’s confidential information to us without being requested to do so in the event that the contract is not concluded or after the contract has been fulfilled.
18.6 The duty of confidentiality for confidential information shall expire five (5) years after failure to enter into or performance of this contract.
18.7 Without our prior written consent, the Supplier is not entitled to use MEHLER/LINDNERHOF’s name, brand, logo or corporate design for advertising purposes, to refer to the business relationship with MEHLER/LINDNERHOF in advertising material, brochures, etc. or to exhibit goods manufactured for us.
18.8 The Supplier is aware that the intentional breach of the above duty of confidentiality has consequences under criminal law in addition to consequences under civil law. In the event of a deliberate breach of the above duty of confidentiality, MEHLER/LINDNERHOF therefore expressly reserves the right to take criminal action.
18.9 The Supplier shall require its subcontractors to comply with this present section § 18.
18.10 The culpable breach of the above duty of confidentiality by the Supplier shall constitute a breach of a material contractual obligation and shall entitle MEHLER/LINDNERHOF to demand from the Supplier a contractual penalty at MEHLER/LINDNERHOF’s discretion commensurate with the culpable breach of obligation. The minimum amount of the contractual penalty is EUR 10,000.00. The Supplier is entitled to have the amount of the contractual penalty reviewed by the court having jurisdiction under the contract. If the court comes to the conclusion that the contractual penalty is unreasonable, the competent court is entitled to reduce or even increase the penalty. The plea of continuation of infringement shall be excluded for infringements committed intentionally. The assertion of further claims for damages as well as for omittance of future unlawful conduct shall remain unaffected by this. Any contractual penalty paid shall be offset against any claims for damages. The contractual penalty represents the minimum damage.
§ 19 Hazardous substances
19.1 The Supplier undertakes, in particular in the event that it supplies substances, mixtures, products or similar which are hazardous substances, or if it supplies goods during the use of which the release of such substances cannot be ruled out, to comply with the applicable provisions of the national, European and international chemicals and hazardous substances legislation, in particular in accordance with REACH, Regulation (EC) No. 1272/2008 (“CLP”) and the German Ordinance on Hazardous Substances (“GefStoffV”), including any obligations for the export and placing on the market of the goods (e.g. compliance with requirements for the classification, labelling and packaging of hazardous substances). The Supplier is prohibited from using carcinogenic substances.
19.2 In addition, the Supplier undertakes to comply with the duty of information in the supply chain in accordance with the national, European and international chemicals and hazardous substances legislation in full and in a timely manner (in particular transmission of the safety data sheet, SVHC communication). For this purpose, the Supplier shall send us an up-to-date, dated safety data sheet in German and English, including information on the place of use and intended use, in particular for the initial sampling and the first series delivery. Safety data sheets must be sent again without being asked whenever there is a change in the substance/preparation and whenever the Supplier revises the safety data sheet, but at the latest every three (3) years. If special handling regulations exist, we must be informed of this separately in writing and advised on the use of the substance/preparation, taking into account the local conditions at our premises. The national, European and international provisions of the law on chemicals and hazardous substances, in particular the obligations of the Supplier according to the in the version valid at the time of delivery, shall remain unaffected.
19.3 Insofar as the Supplier has to fulfil registration obligations according to national, European and international chemicals and hazardous substances law, the Supplier guarantees for all goods delivered by it that substances, mixtures, products or similar which are subject to registration obligations have been registered.
19.4 Furthermore, the Supplier warrants that goods contain only substances, mixtures, products or similar which are not prohibited, restricted or subject to approval under applicable statutory or other regulations, or which have been used in accordance with the relevant specifications.
§ 20 Assignment of claims
The Supplier may only transfer or assign the rights and/or obligations arising from the contract to a third party with the prior written consent of MEHLER/LINDNERHOF.
MEHLER/LINDNERHOF shall be entitled to process all data relating to the Supplier which are required for the purpose of executing the contract, in compliance with the applicable data protection regulations.
§ 22 Code of Conduct for Suppliers
22.1 The Supplier is obliged to comply with the laws of the respective applicable jurisdictions. In particular, it will not participate actively or passively, directly or indirectly, in any form of bribery, violation of the fundamental rights of its employees or child labour. It will also take responsibility for the health and safety of its employees in the workplace, comply with environmental legislation and promote and require compliance with this Code of Conduct from its suppliers and subcontractors to the best of its ability.
22.2 If the Supplier culpably violates these obligations, we shall be entitled to withdraw from the contract or to terminate the contract without prejudice to further claims. If it is possible to remedy the breach of duty, this right may only be exercised after the fruitless expiry of a reasonable period for remedying the breach of duty.
§ 23 Place of jurisdiction, place of performance, applicable law
23.1 If the Supplier is a merchant, a legal entity under public law or a special fund under public law, the court with jurisdiction for our registered office shall have jurisdiction for all disputes between the Supplier and us arising directly or indirectly from the contractual relationship. The same shall apply if the Supplier is an entrepreneur within the meaning of section 14 BGB. However, we shall be entitled in all cases to bring an action at the place of performance of the obligations under the contract or a prior individual agreement or at the general place of jurisdiction of the Supplier. Overriding statutory provisions, in particular concerning exclusive competences, shall remain unaffected.
23.2 At the option of the claimant party, all disputes between the parties arising directly or indirectly out of the contractual relationship may alternatively be finally settled in accordance with the arbitration rules of the International Chamber of Commerce (ICC) by one or more arbitrators appointed in accordance with such rules. In this case, the place of arbitration shall be Frankfurt am Main, Germany. The language of the arbitration shall be English. The law applicable to the arbitration agreement and the arbitration proceedings shall be German law.
23.3 Unless otherwise agreed, the place of performance for all obligations arising from the contractual relationship shall be our registered office.
23.4 These General Terms and the contractual relations between us and the Supplier are subject to the law of the Federal Republic of Germany. The applicability of international uniform law, in particular the UN Convention on Contracts for the International Sale of Goods (CISG), is excluded.
§ 24 Severability clause
Should individual provisions of these General Terms and further agreements made be or become invalid or unenforceable in whole or in part, this shall not affect the validity of the remainder of the contract. The parties are obliged, if dispositive law is not available, to replace the invalid and/or unenforceable provision with a valid and/or enforceable provision that comes as close as possible to the invalid and/or unenforceable provision in terms of commercial success.

(hereinafter referred to as “MEHLER/LINDNERHOF”, “we”, “us”)
§ 15 General
For the provision of goods and services in relation to investment goods, in particular technical equipment and machines (“equipment”) the following conditions (Supplementary Terms of Purchase of Equipment) apply in addition to the General Terms of Purchasing between Mehler Vario System GmbH (“MEHLER/LINDNERHOF”, “we”, “us”) and our supplier. The Supplementary Terms of Purchase of Equipment apply as a supplement or, in the event of deviations from or contradictions to the General Terms of Purchasing of MEHLER/LINDNERHOF, with priority over these.
§ 16 Delivery and performance periods
16.1 Time points for the beginning of the delivery and performance period, handover of binding working drawings, beginning of assembly, ending of assembly, commissioning, beginning and ending of trial period are to be expressly agreed between MEHLER/LINDNERHOF and the supplier and specified in the contract, unless terms deviating from this are regulated in these Supplementary Terms of Purchase of Equipment.
16.2 All materials are to be procured in a timely manner that ensures punctual replacement delivery in the event of defects.
16.3 If the scope of supply cannot be accepted at the time desired by MEHLER/LINDNERHOF due to urgent operational reasons, the supplier shall undertake free intermediate storage for the period of two (2) months.
16.4 MEHLER/LINDNERHOF shall establish the prerequisites to enable unhindered commencement of assembly according to schedule. If these prerequisites are not fulfilled, the schedule shall be adapted appropriately.
16.5 MEHLER/LINDNERHOF is entitled at any time to request interruption of contractual fulfilment due to urgent operational reasons. The time point for resumption of contractual performance shall be determined by MEHLER/LINDNERHOF, taking account of the justified interests of the supplier.
§ 17 Scope of supply and performance
17.1 The supplier commits himself to ensure that the supply and/or performance provided by him corresponds to the respectively applicable laws, directives, norms and standards, in particular Product Safety Act (ProdSG), Ninth Decree of the Product Safety Act (9th ProdSV), Accident Prevention Regulations (UVV), Ordinance on Industrial Safety and Health (BetrSichV), Ordinance on Hazardous Substances (GefStoffV), regulation
(EU) no. 1907/2006 (REACH), Electrical and Electronic Devices Act (ElektroG), Electromagnetic Compatibility Act (EMVG), volume19.2 of the German Association of the Automotive Industry (VDA volume 19.2: Technical Cleanliness in Assembly – part 2), Safety Equipment Guidelines of VdS Schadenverhütung GmbH (VdS guidelines), Guidelines of the Association of German Engineers (VDI guidelines), norms (including DIN, EN, IEC and VDE) as well as all statutory obligations regarding the export and placing on the market of the equipment (e.g. observance of requirements for assessment, labelling and packaging of hazardous goods). If the supplier is unable to observe the applicable laws, guidelines, norms and standards, he shall notify MEHLER/LINDNERHOF of this without delay. MEHLER/LINDNERHOF shall decide whether and to what extent the contractual relationship shall be continued. Failure to observe constitutes a breach of primary performance obligations on the part of the supplier.
17.2 The supplier shall create new, complete and functional equipment that comprises all components required for contractual use. In addition, the supplier shall provide the performance regulated in these Supplementary Terms of Purchase of Equipment.
17.3 Moreover, the supplier shall also ensure that the equipment is operationally safe and that all parts of the equipment are co-ordinated with one another in an economically and technically optimal manner.
17.4 The supplier commits himself to ensure the supply of MEHLER/LINDNERHOF with replacement and spare parts for the equipment supplied to MEHLER/LINDNERHOF for a period of at least fifteen (15) years after acceptance of the equipment at reasonable, normal commercial conditions. Should the supplier intend to discontinue production of replacement and/or spare parts for the equipment supplied to MEHLER/LINDNERHOF, this shall be communicated to MEHLER/LINDNERHOF without delay following the decision regarding discontinuation. This decision must be – subject to clause 1 – at least six (6) months prior to discontinuation of production.
17.5 Even where individual devices, parts, fixtures and performance are not expressly named, they are to be provided without separate billing if they are required within the specified supply performance limits for completeness of the entire equipment and its faultless function.
17.6 The performance of the supplier also includes the design of devices, office, warehouse, refrigeration units, sanitation, break rooms etc. including heating, industrial health and safety equipment and clothing as well as the establishment of telecommunications connections and other technical systems. The workshops and sanitation facilities of MEHLER/LINDNERHOF shall only be available to the supplier following written agreement.
17.7 The lines for the auxiliary supplies to be provided by MEHLER/LINDNERHOF are to be laid from the point of delivery to the point of use by the supplier, connected and later removed, in accordance with the local building regulations.
17.8 The supplier shall ensure an accident-free construction site and sufficient workplace lighting. The warehouse and workplaces used by the supplier are to be kept clean. Should the supplier fail to meet these obligations in spite of being asked to do so, MEHLER/LINDNERHOF may undertake or have this work undertaken at the expense of the supplier.
17.9 The supplier is obliged, at the request of MEHLER/LINDNERHOF, to make utility lines that he has created available to other companies for joint use, so long as this does not hinder the supplier in his work. Remuneration is to be clarified directly with the user.
17.10 The supplier shall undertake construction and groundwork for construction site and assembly facilities at his own expense.
§ 18 Implementation and quality assurance
18.1 The supplier commits himself to draft, at the latest following acceptance of the order, a description of his quality assurance system and to forward this to MEHLER/LINDNERHOF in good time for inspection and approval. The supplier shall also include his subcontractors and sub-suppliers in the system. The interfaces are to be displayed and defined. The description shall summarise how and by whom the requirements for the order are to be fulfilled and confirmed as having been fulfilled.
18.2 The supplier shall provide MEHLER/LINDNERHOF with the name of a qualified co-ordinator for the undertaking of the quality assurance measures.
18.3 MEHLER/LINDNERHOF reserves the right to participate in inspections and measurements. For this purpose, MEHLER/LINDNERHOF and the third parties assigned by MEHLER/LINDNERHOF shall have access to the workplaces, workshops, storage rooms and other premises where the contractual performance is provided or the components designated for this are stored. On request, all documents shall be presented to MEHLER/LINDNERHOF and/or the third party assigned by MEHLER/LINDNERHOF for inspection and corresponding information provided.
18.4 MEHLER/LINDNERHOF reserves the right to conduct construction and assembly supervision as well as accompanying inspections. In these cases, the supplier shall ensure that MEHLER/LINDNERHOF is informed of planned night, weekend or public holiday work in good time.
18.5 The supplier is responsible for the implementation of the inspections stipulated in the pre-inspection documents (i.e. the specifications sheet in particular). Additional inspections require the prior written agreement of MEHLER/LINDNERHOF. The supplier shall enable MEHLER/LINDNERHOF and the third party assigned by MEHLER/LINDNERHOF to participate in the inspections ordained by the authorities or inspections otherwise agreed or provide information at the request of MEHLER/LINDNERHOF.
18.6 The supplier shall name to MEHLER/LINDNERHOF the persons assigned with the pre-inspection, construction monitoring, welding and inspection supervision as well as the compiling and checking of the documentation.
18.7 The time point of the inspections shall be communicated to MEHLER/LINDNERHOF and the inspector for domestic orders at least three (3) working days prior to the beginning of inspections, for orders abroad at least six (6) working days prior to the beginning of inspections.
18.8 On request, the supplier shall provide MEHLER/LINDNERHOF with evidence of which subcontractors and sub-suppliers the necessary materials have been ordered from and for which dates.
18.9 MEHLER/LINDNERHOF and the third party assigned by MEHLER/LINDNERHOF have the right to obtain insight into the schedule situation and degree of completion from the supplier at any time. The supplier shall oblige subcontractors and sub-suppliers to grant MEHLER/LINDNERHOF and the third party assigned by MEHLER/LINDNERHOF insight into the schedule situation and degree of completion at any time. Culpably incurred additional assembly expenses for related and subsequent assembly that are not caused by schedule postponements communicated in good time shall be borne by the supplier.
18.10 The supplier is obliged to inform himself adequately of the local circumstances of the place of performance and to co-ordinate the beginning of the contractually owed performance with the local construction supervision. Costs incurred by the culpable failure to observe this duty shall be borne by the supplier.
18.11 The supplier shall guarantee the correct selection of materials to be used, the correct realisation, the faultless function of the equipment/ component, achievement of the agreed technical performance and characteristics as well as operational suitability for continuous operation.
18.12 The supplier shall agree all key design and construction decisions with MEHLER/LINDNERHOF. Place and time of the co-ordinating discussions are to be communicated to MEHLER/LINDNERHOF with advance notice of fourteen (14) calendar days.
18.13 The supplier shall examine the materials provided by MEHLER/LINDNERHOF without delay and communicate any defects determined to MEHLER/LINDNERHOF without delay. This also applies for defects that the supplier recognises at a later point in time. Independently of this, the supplier is obliged to examine the suitability of the materials or parts provided and to notify MEHLER/LINDNERHOF in writing of any objections without delay. If the lack of suitability is due to an incorrect or incomplete specification of the supplier, the supplier shall bear all subsequent costs. MEHLER/LINDNERHOF shall assign claims for defects against
suppliers/manufacturers of the materials or parts provided to the supplier.
18.14 The supplier shall notify MEHLER/LINDNERHOF in good time and unprompted, in writing, of the time point by which necessary decisions are to be made by MEHLER/LINDNERHOF and necessary documents provided to the supplier.
§ 19 Personnel
19.1 The supplier shall ensure that he has the work relating to the equipment undertaken by personnel that are qualified to provide this performance.
19.2 The supplier commits himself to only assign qualified, instructed personnel who have been subjected to an occupational health examination relating to the tasks to be carried out in accordance with the principles of the accident prevention and insurance association, who are hired and insured according to the statutory regulations. Corresponding up-to-date proof of qualification and examination is to be presented at the request of MEHLER/LINDNERHOF. MEHLER/LINDNERHOF is entitled to request the replacement of personnel of the supplier for cause. This applies in particular where there is justified doubt of the necessary experience or qualifications, or where industrial health and safety and/or environmental protection specifications fail to be observed. The supplier commits himself to ensure qualified replacement in such cases. The agreed performance dates and performance times are not affected by this.
19.3 The supplier is obliged to only change assigned personnel after taking careful account of the interests of MEHLER/LINDNERHOF. All additional expense (e.g. for familiarisation, transfer of knowledge and lost productivity) shall be borne by the supplier.
19.4 Assessment of persons assigned to higher qualification classes by the supplier during the contractual period shall not affect the remuneration obligations for contractual performance.
19.5 The supplier commits himself to release MEHLER/LINDNERHOF from all loss and costs (including costs for legal action) that result from a breach of legal norms for which the supplier or one of his employees or subcontractors are solely responsible.
§ 20 Co-operation of the parties, integrity and compliance, industrial health and safety
20.1 Regarding the agreed equipment, the supplier guarantees that he has comprehensive expertise and experience in the use of the equipment for the contractual purpose, on which MEHLER/LINDNERHOF may rely.
20.2 Integrity and compliance are of particular significance for MEHLER/LINDNERHOF. MEHLER/LINDNERHOF also places great value on social responsibility within the scope of commercial activities. This being said, the supplier commits himself to undertake all necessary measures to avoid corruption and other criminal actions and to refrain from participating neither actively nor passively in any form of bribery, breach of the fundamental rights of his employees or child labour, to assume responsibility for the health and safety of his
employees in the workplace and to observe environmental protection laws (together “code of conduct”).
The supplier shall oblige his employees and his subcontractors that he assigns in relation to the fulfilment of his contractual obligations towards MEHLER/LINDNERHOF to oblige the code of conduct. On request, the supplier shall furnish proof to MEHLER/LINDNERHOF of the obligation of his employees and subcontractors.
20.3 In addition to the company rules and regulations of MEHLER/LINDNERHOF, the supplier shall observe in particular the generally acknowledged safety and occupational health regulations.
20.4 The supplier commits himself to observe all statutory terms for the protection of the employee, in particular all, applicable for him, national terms for payment of the minimum wage and deduction of social security contributions (e.g. according to the Employee Assignment Act (AEntG) and the Minimum Wage Act (Mi- LoG)) as well as the terms of the accident prevention and insurance association and collective agreement terms relevant to his company. The supplier also guarantees that his subcontractors and sub-suppliers shall
fulfil these requirements. On request, the supplier shall furnish proof of observance of these conditions to MEHLER/LINDNERHOF. In the event of the supplier breaching the aforementioned obligations or failing to observe the duty to furnish proof within a reasonable time period set by MEHLER/LINDNERHOF, MEHLER/LINDNERHOF shall be entitled to terminate the contract with immediate effect. The supplier shall release MEHLER/LINDNERHOF from all possible claims that could be enforced against
MEHLER/LINDNERHOF due to culpable breach of the supplier or his subcontractors or sub-suppliers of the applicable national terms regarding payment of minimum wage and deduction of social security contributions as well as any other liability under statutory terms.
20.5 Where performance is provided in the business premises of MEHLER/LINDNERHOF, the following applies: MEHLER/LINDNERHOF records accidents in the workplace and on the way to work of its own employees and third parties providing service on its behalf. This recording serves to improve occupational safety. If a service provider assigned by the supplier or his subcontractors has an accident on the way to or from the place of performance (accident on the way to work) or at the place of performance within the scope of the agreed activity (occupational accident), the supplier shall notify the safety officer of MEHLER/LINDNERHOF on site of this and further details in writing. The above accident report to MEHLER/LINDNERHOF does not release the supplier from his existing statutory duty to report, such as duty to report to the accident prevention and insurance association.
20.6 Regardless of whether they are assigned to MEHLER/LINDNERHOF for an extended time, the service providers remain the organisational responsibility of the supplier or his subcontractors. Only the supplier is entitled to issue instructions to his service providers, he manages his service providers independently. The service providers do not enter into any employment relationship with MEHLER/LINDNERHOF, even where they provide their services on his premises.
§ 21 Technical documents
21.1 All drawings, planning, design, inspection and manufacturing documents as well as other technical documents (“technical documents”) are to be supplied in DIN formats and DIN scales. Technical documents that do not correspond to the required conditions may be rejected by MEHLER/LINDNERHOF without inspection. Binding general layouts are to be submitted to MEHLER/LINDNERHOF for agreement prior to implementation. Design drawings are to be presented to MEHLER/LINDNERHOF prior to workshop implementation, on request.
21.2 All technical documents are to be made available to MEHLER/LINDNERHOF free of charge, in the respectively required quantity and language (in any case in the German language) and, unless MEHLER/LINDNERHOF requests otherwise, in electronic form.
21.3 The supplier shall ensure that all of the technical documents drawn up in the scope of contractual fulfilment are labelled according to the specifications of MEHLER/LINDNERHOF.
21.4 The supplier shall supply MEHLER/LINDNERHOF with the quality documentation described in the specifications in five copies.
21.5 The supplier shall inform MEHLER/LINDNERHOF without delay of necessary changes to technical documents, in particular of design, inspection and manufacturing documents, as well as deviations from specified manufacturing and inspection processes as well as quality characteristics.
21.6 Irrespective of the viewing of the technical documents by MEHLER/LINDNERHOF, responsibility for the scope of supply and performance remains solely with the supplier. All costs incurred as a result of incorrect technical documents shall be borne by the supplier, including where the associated changes do not concern his own scope of supply, and where the supplier is responsible for the inaccuracy.
21.7 The supplier is obliged to submit the required technical documents to MEHLER/LINDNERHOF in good time. Costs incurred due to technical documents being culpably submitted late or incorrect or incomplete technical documents shall be borne by the supplier. The supplier shall notify MEHLER/LINDNERHOF of changes to the technical documents in written form. Sending of the technical documents with revision marks is not sufficient. Costs incurred by culpable failure to observe this duty shall be borne by the supplier.
21.8 Documents for discussion must be presented to MEHLER/LINDNERHOF by the supplier at least two (2) working days prior to the discussion date. The supplier shall draw up minutes of each discussion and forward these to MEHLER/LINDNERHOF within ten (10) working days.
21.9 Following acceptance, the supplier shall draw up all technical documents as conclusive drawings for MEHLER/LINDNERHOF, taking account of all changes made and depicting the actual design. For later revision work the supplier shall provide MEHLER/LINDNERHOF with the necessary technical documents and details for orderly realisation of dismantling and assembly. At the request of MEHLER/LINDNERHOF the technical documents and parts lists required for the procurement of replacement and spare parts are to
be handed over.
21.10 All technical documents are to be handed over without specific request at the agreed dates or in good time to ensure that construction and other works are not delayed. If these are technical documents for which a statement, decision or inspection by MEHLER/LINDNERHOF is necessary, presentation must be timely enough to allow a reasonable period for inspection and for necessary changes to be taken into consideration.
21.11 The supplier shall supply operating instructions and maintenance instructions for the scope of supply in the respectively required quantity (in any case, however, as ten copies) as well as in the respectively required language (in any case, however, in German) free of charge at the agreed date, at the latest, however, four (4) weeks prior to commissioning. In addition, the supplier shall also make the operating instructions and maintenance instructions for the scope of supply available to MEHLER/LINDNERHOF in electronic form within the aforementioned time period. Operating instructions and maintenance instructions are to be bindingly reworked by the supplier prior to acceptance of the scope of supply, with the findings arising from commissioning and test operation. The timely and correct provision of the operating instructions and maintenance instructions by the supplier is an essential prerequisite for acceptance of the equipment.
§ 22 Assembly
22.1 Assembly comprises the ready-for-use assembly of the scope of supply, including any parts provided by MEHLER/LINDNERHOF, under the full responsibility of the supplier.
22.2 Assembly also includes the unloading, correct storage and transport of the scope of supply on the construction site to the place of use. In the event of limited storage options, in agreement with MEHLER/LINDNERHOF only those parts are to be stored that are required to be installed directly.
22.3 Prior to the beginning of assembly, the supplier shall check construction dimensions, for example for foundations, openings and room dimensions, for compliance with the drawings approved by MEHLER/LINDNERHOF and notify MEHLER/LINDNERHOF of any deviations without delay.
22.4 Additional costs incurred by the supplier as a result of the beginning and/or realisation of the assembly work being delayed at the instigation of MEHLER/LINDNERHOF are to be reported without delay. The supplier shall inform MEHLER/LINDNERHOF of the amount of the additional costs and furnish MEHLER/LINDNERHOF with evidence of the additional costs.
22.5 Assembly comprises the provision of the entire assembly personnel including management, supervisory and auxiliary personnel as well as all necessary tooling, hoisting and assembly tools, work tools and auxiliary equipment.
22.6 The supplier bears responsibility for the entire assembly personnel and shall name construction management and commissioning personnel prior to the commencement of the work.
22.7 All costs for travel and commuting, expenses, allowances and other ancillary costs for the personnel of the supplier are contained within the assembly costs.
22.8 Agreements are to be reached regarding the remuneration of any skilled and auxiliary workers to be provided by MEHLER/LINDNERHOF prior to the commencement of their work.
22.9 At the request of MEHLER/LINDNERHOF the supplier shall provide overtime, night, weekend and public holiday work to the statutorily permissible extent and obtain official permission to do so where necessary. The additional costs actually incurred shall only be remunerated by MEHLER/LINDNERHOF where this has been agreed in writing beforehand.
22.10 If performance of the supplier also includes work on the company premises of MEHLER/LINDNERHOF, the supplier shall report entering and driving on the company premises of MEHLER/LINDNERHOF to MEHLER/LINDNERHOF in good time and inform himself about the stipulations of MEHLER/LINDNERHOF regarding conduct on the company premises (in particular regarding instructions for third-party firms) in good time prior to entering and driving on the company premises, and shall also observe the instructions of MEHLER/LINDNERHOF personnel on the company premises. In particular, the supplier shall observe road traffic regulations. Moreover, during the course of his work the supplier shall take all precautionary measures to prevent personal or material damage. The supplier shall compensate MEHLER/LINDNERHOF and exempt MEHLER/LINDNERHOF from all loss, costs and expense caused by the work of the supplier on company premises, unless the supplier has no culpability for this.
22.11 To the extent that the supplier is required to undertake welding work, prior to the commencement of work the supplier shall furnish MEHLER/LINDNERHOF with the valid welding certificates or welding permits for certified welders for employees that are to conduct the welding work. Welding work may only be commenced following presentation of the valid welding certificates or welding permits. The supplier shall be solely responsible for any delays in performance as a result of the supplier culpably failing to present welding certificates or welding permits in good time.
§ 23 Commissioning
23.1 The time point of commissioning is to be agreed with MEHLER/LINDNERHOF. If multiple interacting equipment parts are to be commissioned, MEHLER/LINDNERHOF or a third party assigned by MSV shall coordinate overall commissioning.
23.2 The supplier shall undertake commissioning of his scope of supply under his own responsibility and management. The necessary equipment and operating personnel shall be provided by MEHLER/LINDNERHOF without charge.
23.3 The supplier shall take account of the instructions of MEHLER/LINDNERHOF. As co-ordination of independent equipment parts requires time, the supplier shall allow an adequate amount of time for this.
23.4 Orderly commissioning is deemed to have been completed where the faultless function of the equipment including all safety and auxiliary features has been demonstrated in 24-hour, uninterrupted operation with the performance specified by MEHLER/LINDNERHOF and where corresponding checks have displayed no defects.
§ 24 Test operation
24.1 Test operation commences with the conclusion of commissioning.
24.2 The test operation conducted under the responsibility and at the risk of the supplier with qualified personnel of the supplier has the purpose of furnishing proof of the unlimited operational ability of the scope of supply.
24.3 MEHLER/LINDNERHOF shall provide the necessary equipment for test operation without charge. During the course of the test operation the supplier shall train and instruct the operating personnel of MEHLER/LINDNERHOF both theoretically and practically so that, following the ending of the test operation, they are familiar with all functions and details of the equipment as required for the independent and correct operation of the equipment by the operating personnel of MEHLER/LINDNERHOF.
24.4 MEHLER/LINDNERHOF is entitled to specify the daily times of operation. Any other use of the personnel of the supplier requires the prior, written authorisation of MEHLER/LINDNERHOF. In the event of MEHLER/LINDNERHOF specifying daily operational times that extend beyond the duration of one shift, the supplier shall provide the personnel for an alternate shift.
24.5 If errors occur during the test operation, the supplier shall rectify these at his own expense without delay.
24.6 The supplier shall keep a record of the progress and outcome of the test operation, to be signed by both parties. In particular, the record must provide information regarding defects determined, the current state of performance and the date for completion of contractual fulfilment.
24.7 Beginning and duration of the test operation shall be specified in the contract. If no beginning and/or duration of the test operation is stated in the contract and also not agreed elsewhere, the duration of the test operation shall comprise four (4) calendar weeks and begin with the successful conclusion of commissioning of the equipment.
24.8 The required during test operation for maintenance work and improvements by the supplier shall be calculated as interruptions, so long as no fundamental defect is present that can only be rectified with reconstruction of the equipment and that does not exceed an interruption duration of twenty four (24) hours. This work is to be reported to MEHLER/LINDNERHOF without delay. The test operation shall be extended by the interruption time caused by the supplier.
24.9 The test operation is interrupted and is halted where (i) the supplier requires more than three (3) interruption periods, (ii) no immediate notification of MEHLER/LINDNERHOF occurs or (iii) the entire interruption period amounts to more than twenty four (24) hours. With the abandonment of the test operation, the agreed test operation period commences again following rectification of all malfunctions.
24.10 MEHLER/LINDNERHOF reserves the right to extend the test operation by up to four (4) weeks at its own expense.
24.11 If the conclusion of the test operation is delayed due to circumstances for which MEHLER/LINDNERHOF is responsible, the parties shall amend the contract accordingly.
§ 25 Acceptance
Conducting of acceptance and acceptance certificate
25.1 Following successful test operation, acceptance is conducted by MEHLER/LINDNERHOF or a third party assigned by MEHLER/LINDNERHOF. The equipment is accepted when all contractual performance has been fulfilled, in particular where proof of the specific characteristics has been provided by the supplier and the supplier has provided MEHLER/LINDNERHOF with the operating instructions and maintenance instructions for the scope of supply as regulated in these Supplementary Terms of Purchase of Equipment. Acceptance is to be recorded in writing. A record of the acceptance is to be drafted using the “Acceptance Certificate” pre-printed form.
25.2 To the extent that proof of the specific characteristics or the complete functional readiness occurs after acceptance, this is also to be recorded in an acceptance certificate.
25.3 At the request of the supplier MEHLER/LINDNERHOF shall accept partial deliveries and performance if these cover an independent part or if they cannot be checked at a later time due to further implementation. A record of the partial acceptance is to be drafted using the “Partial Acceptance Certificate” pre-printed form.
25.4 MEHLER/LINDNERHOF is entitled to use the goods and services of the supplier prior to acceptance where urgent operational grounds necessitate this. This use in no case constitutes acceptance.
25.5 Lack of proof of the specific characteristics or complete functional readiness of the equipment shall not stand in the way of acceptance where this is due to circumstances for which MEHLER/LINDNERHOF is responsible. The lack of proof is to be recorded in the acceptance certificate.
25.6 If official decisions are required for the use of the equipment created, these shall be deemed to be prerequisites for acceptance. The existence of such a decision does not give rise to a claim for partial acceptance. If a decision is delayed or fails to be made due to reasons for which MEHLER/LINDNERHOF is not responsible, the supplier shall bear the costs that arise from this.
Acceptance tests and/or measurements:
25.7 MEHLER/LINDNERHOF shall grant the supplier the opportunity to examine the equipment for its orderly condition prior to the commencement of acceptance tests and/or measurements. The supplier is not authorised to replace parts of the equipment solely for the acceptance tests and/or measurements without the agreement of MEHLER/LINDNERHOF.
25.8 Defects determined during acceptance tests and/or measurements are to be rectified by the supplier free of charge, unless the supplier is not responsible for them.
25.9 MEHLER/LINDNERHOF shall bear the costs incurred for equipment required for acceptance tests and/or measurements. The supplier shall bear the costs incurred for the provision of acceptance personnel and measurement devices, including installation and removal.
25.10 If, in the event of dispute, a neutral assessor is required to assess the measurements and tests conducted and/or the conducting of repeat testing and/or measurements, the costs of these services shall be borne by the losing party in the dispute. The costs for own performance incurred shall be borne by each party themselves.
25.11 MEHLER/LINDNERHOF is entitled to provide inspectors for the acceptance tests and/or measurements at its own expense.
25.12 Should it become apparent during the acceptance tests and/or measurements that promised values cannot be achieved and that the supplier is subsequently required to undertake amendments or improvements to the equipment or parts thereof, the acceptance tests and/or measurements shall be repeated following conclusion of this work on request. The costs shall be borne by the supplier, including where characteristics better than the specific characteristics are achieved.
25.13 MEHLER/LINDNERHOF shall grant the supplier opportunity to furnish proof of the specific characteristics within six (6) months of successful test operation. In the event of acceptance tests and/or measurements not proving possible within six (6) months of successful test operation, the time period shall be extended appropriately. Acceptance tests and/or measurements are to be undertaken in agreement with MEHLER/LINDNERHOF or its appointed agents.
§ 26 Further developments, maintenance, customer service
26.1 To the extent that the supply of the equipment also includes an operating system, for example for the control of the equipment, the supplier commits himself to the provision of further developments (e.g. updates, upgrades) at regular intervals, whereby MEHLER/LINDNERHOF is not obliged to add these further developments. In particular, the supplier is obliged to make available to MEHLER/LINDNERHOF a free update for a newer version of the operating system where a security risk to MEHLER/LINDNERHOF exists through the operating system provided.
26.2 The scope of maintenance for the machine is to be quantified by the supplier. MEHLER/LINDNERHOF expects to receive low-maintenance equipment.
26.3 In the event of a malfunction, customer service must be available via telephone at the local rates and during the standard working hours of MEHLER/LINDNERHOF. To the extent technically possible, the supplier shall offer remote maintenance. The supplier shall also guarantee that the customer service is at the location of the equipment within 24 hours of awareness of any damage.
§ 27 Claims for defect
27.1 Unless otherwise specified, the statutory terms apply for the rights of MEHLER/LINDNERHOF with regard to material and legal defects in the equipment as well as other breaches of duty by the supplier.
27.2 The supplier shall guarantee that all goods and services provided by him, correspond in particular
g) to the agreed characteristics, i.e. including product descriptions, agreed specification,
h) are free from design, manufacturing and material defects,
i) correspond to the state-of-the-art of scientific knowledge at the time of acceptance,
j) correspond to the applicable statutory, official, industry-specific standards and requirements applicable to the goods and services at the time of acceptance, in particular safety relevant, environmental law, construction law, hazardous substance, hazardous material and accident prevention regulations as well as the quality assurance specifications of MEHLER/LINDNERHOF,
k) are suitable for the contractually agreed purpose or purpose identifiable for the supplier and
l) meet the requirements documented in the technical specifications and/or specifications sheet – where available.
27.3 The claims for defects also extend to the goods and services of subcontractors and sub-suppliers of the supplier. They also apply where MEHLER/LINDNERHOF stipulates a specific brand to the supplier for exclusive use.
27.4 The claims for defects are not limited by the inspections, instructions and design specifications undertaken by MEHLER/LINDNERHOF. To the extent that the supplier considers the inspections, instructions and design specifications of MEHLER/LINDNERHOF to be inappropriate, the supplier shall be obliged to notify MEHLER/LINDNERHOF of this in writing and to supply suggestions for improvement.
27.5 Supplementary performance is to be undertaken as soon as possible in agreement with MEHLER/LINDNERHOF. In urgent cases, this is to be undertaken in 24-shift operations at the request of MEHLER/LINDNERHOF. Should immediate supplementary performance not prove possible, the supplier shall establish a provisional solution without delay, in agreement with MEHLER/LINDNERHOF. The costs of this shall be borne by the supplier.
27.6 The supplier shall also bear construction-related costs, for example for dismantling, transport, assembly, planning and documentation services that are incurred during supplementary performance.
27.7 MEHLER/LINDNERHOF is entitled, at the expense of the supplier, to undertake supplementary performance itself or by third parties if the supplier fails to meet its duty to undertake supplementary performance within a reasonable time period stipulated by MEHLER/LINDNERHOF. Liability for defects is not affected by this, unless the work is carried out in an unprofessional manner. MEHLER/LINDNERHOF shall be entitled to the same rights if continuous operation is not possible, the supplier is unable to furnish proof of the complete functional readiness of the equipment within the limitation period, although MEHLER/LINDNERHOF has created the prerequisites for the furnishing of proof. If supplementary performance on the part of the supplier fails or cannot reasonably be expected of MEHLER/LINDNERHOF (e.g. due to particular urgency, risk to operational safety or the threat of disproportionate damage), no period is required to be set; we shall communicate such circumstances to the supplier without delay, where possible in advance.
§ 28 Limitation period
The limitation period comprises three (3) years, calculated from the day of acceptance, so long as the law does not stipulate a longer period.
